Terms of Service

These Terms of Service (“Terms”) govern the access to and use of the Zhade Labs cloud services, applications, and integrations, including the Zhade Integration for Jira & Google Chat (collectively, the “Service”), provided by Zhade Labs (“Zhade”, “we”, “us”, or “our”).
By installing, enabling, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Scope and structure of the Service
The Service consists of multiple components that operate together, including:
- a Google Chat application distributed via Google Workspace Marketplace (provided free of charge); and
- a Jira integration or plugin distributed via Atlassian Marketplace (subject to paid subscription terms).
The Service is designed to operate only when these components are used together. Use of the Google Chat application without a valid Jira integration subscription may result in limited or non-functional features.
2. Eligibility and business use
The Service is intended solely for business or professional use. By using the Service, you represent that:
- you have authority to bind the legal entity on whose behalf the Service is used; and
- you are not using the Service as a consumer acting outside a professional or business capacity.
3. Acceptance and relationship to other documents
These Terms form part of a broader contractual framework, which includes:
- Privacy Policy
- End User License Agreement (EULA)
- Data Processing Addendum (DPA) (available upon request and effective upon execution)
- Security Statement
In the event of a conflict, the DPA prevails with respect to personal data processing (once executed). Otherwise, these Terms prevail unless expressly stated otherwise.
4. License and right to use
Subject to these Terms and, where applicable, payment of required fees via the relevant marketplace, Zhade grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business operations during the applicable subscription term.
The Service is licensed, not sold. No ownership rights are transferred.
5. Accounts, administration, and responsibilities
You are responsible for:
- all activities performed by your authorized users;
- maintaining accurate account, billing, and contact information;
- safeguarding credentials and access controls.
Administrators designated by you may configure the Service on your behalf. You remain fully responsible for all administrator actions.
6. Third-party platforms and dependencies
The Service integrates with and depends on third-party platforms and services, including Google and Atlassian (“Third-Party Services”). You acknowledge that:
- Zhade does not control Third-Party Services;
- availability, security, and continued compatibility of such services are outside Zhade’s control;
- Third-Party Services may change, suspend, or discontinue APIs or features at any time.
Zhade is not liable for outages, interruptions, or data loss caused by Third-Party Services. Your use of Third-Party Services is governed by their respective terms and policies.
7. Fees and billing
The Google Chat application component is provided free of charge. The Jira integration component is subject to paid subscription terms via Atlassian Marketplace or a separate written agreement.
Fees, billing, invoicing, and any payment-related matters are handled by the applicable marketplace acting as merchant of record and are governed solely by the marketplace’s own terms and policies.
8. Customer Data and data protection
You retain all rights in and to Customer Data. Where Zhade processes personal data on your behalf, Zhade acts as a data processor or service provider and processing is governed by the Privacy Policy and the DPA (once executed).
A Data Processing Addendum is available upon request at privacy@zhadelabs.com and becomes effective upon execution.
Zhade may generate aggregated and anonymized usage data for analytics, security, and product improvement, provided such data does not identify you or any individual.
9. Security
Zhade implements reasonable and appropriate technical and organizational measures designed to protect Customer Data, as described in the Security Statement.
No system can be guaranteed to be completely secure. You acknowledge and accept the inherent risks of cloud-based services.
10. Beta and early access features
Certain features may be designated as beta, preview, or early access. Such features are provided “AS IS”, may be modified or discontinued at any time, and are used entirely at your own risk.
11. Artificial intelligence features (if applicable)
The Service may include AI-powered features. AI-generated output may be inaccurate or incomplete, and you are solely responsible for reviewing and validating any AI-generated output.
Customer Data is not used to train generalized AI models.
12. Support and updates
Zhade provides commercially reasonable email-based support during business days (CET) via support@zhadelabs.com.
Zhade may update, modify, or enhance the Service at its discretion and is not obligated to maintain backward compatibility.
13. Intellectual property and feedback
Zhade retains all intellectual property rights in the Service. The Service is licensed only for your use and no ownership rights are conveyed.
Any feedback you provide may be used by Zhade without restriction or compensation.
14. Publicity
Zhade may identify you as a user of the Service and display your name or logo for marketing purposes.
You may opt out at any time by contacting legal@zhadelabs.com.
15. Confidentiality
Each party shall protect the other party’s Confidential Information using reasonable care.
Confidentiality obligations survive termination.
16. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”.
ZHADE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
17. Limitation of liability
To the maximum extent permitted by law:
- Zhade shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or relating to the Service; and
- Zhade’s total aggregate liability for any claims arising out of or relating to the Service shall not exceed the amount paid by you for the applicable paid component of the Service during the twelve (12) months preceding the claim.
18. Indemnification
You agree to indemnify and hold harmless Zhade from and against any claims, damages, liabilities, losses, and expenses arising out of or relating to:
- your use of the Service;
- Customer Data or content provided through the Service; or
- your violation of these Terms, applicable law, or third-party rights.
19. Term and termination
These Terms remain effective for the duration of your use of the Service. Upon termination or expiration, all rights granted under these Terms cease and you must discontinue use of the Service.
20. Changes to these Terms
Zhade may update these Terms from time to time. Material changes will be notified in advance where required. Continued use of the Service constitutes acceptance of the updated Terms.
21. Governing law and jurisdiction
These Terms are governed by the laws of Ukraine. Courts located in Kyiv, Ukraine shall have exclusive jurisdiction, except where marketplace rules or mandatory laws require otherwise.
