Terms governing use of Zhade Labs integrations

This Agreement sets out the terms and conditions that apply to the use of Zhade Labs integrations, including the Zhade Integration for Jira & Google Chat.

End User License Agreement

This End User License Agreement (“Agreement”) is entered into between Zhade Labs (“Zhade”) and the customer (“Customer”) and governs the use of Zhade Labs software products and integrations, including the Zhade Integration for Jira & Google Chat.

1. Acceptance and Eligibility

By accessing, installing, enabling, copying, configuring, or using the Product, Customer confirms that:

  • Customer has read, understood, and agrees to be bound by this Agreement;
  • Customer has the legal authority to bind the entity on whose behalf the Product is used;
  • the Product is used solely for business or professional purposes.

The Product is not offered to consumers acting outside of a business or professional capacity.

If Customer does not agree to this Agreement, Customer must not access or use the Product.

2. Definitions

Authorized User — an individual authorized by Customer to access and use the Product.
Customer Data — all data, content, or information submitted, transmitted, or made available by Customer through the Product.
Marketplace — Atlassian Marketplace, Google Workspace Marketplace, or any other authorized distribution platform.
Subscription Term — the period during which Customer is authorized to use the Product.
Third-Party Services — external platforms, APIs, or services integrated with the Product, including Google and Atlassian.
Beta / Early Access Features — experimental, preview, or pre-release functionality.

3. License Grant

Subject to this Agreement and payment of applicable fees, Zhade grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Product during the Subscription Term solely for Customer’s internal business operations, in accordance with applicable documentation and usage limits.

The Product is licensed, not sold. No ownership rights are transferred.

4. Scope of Use and Restrictions

Customer shall not, and shall not permit any third party to:

  • reverse engineer, decompile, disassemble, or attempt to derive source code;
  • modify, adapt, translate, or create derivative works of the Product;
  • resell, sublicense, lease, host, or provide the Product as a standalone service;
  • use the Product to develop or benchmark competing products;
  • bypass or circumvent technical, security, or usage limitations;
  • use the Product in violation of applicable law, platform policies, or this Agreement.

Zhade may suspend or terminate access immediately for any violation of this section.

5. Accounts and Administration

Customer is solely responsible for:

  • all activities performed by Authorized Users;
  • maintaining accurate account, billing, and contact information;
  • safeguarding credentials and access controls.

Customer-designated administrators may configure settings and manage Authorized Users on Customer’s behalf. Customer remains fully responsible for all administrator actions.

6. Third-Party Services and Dependencies

The Product depends on and integrates with Third-Party Services, including Google and Atlassian. Customer acknowledges that:

  • Zhade does not control Third-Party Services;
  • Zhade does not guarantee their availability, security, or continued compatibility;
  • Third-Party Services may change, suspend, or discontinue APIs or functionality at any time.

Zhade shall not be liable for any outage, data loss, degradation, or interruption caused by Third-Party Services. Customer’s use of such services is governed solely by their respective terms.

7. Customer Data and Data Protection

Customer retains all right, title, and interest in and to Customer Data.

Customer appoints Zhade Labs (“Zhade”) as a data processor or service provider (as applicable) for Customer Data and instructs Zhade to process such data solely to operate, maintain, secure, troubleshoot, and support the Product, or as otherwise permitted in a separate written agreement between the parties.

Zhade implements reasonable and appropriate technical and organizational measures aligned with industry standards to protect Customer Data against unauthorized access, loss, or misuse.

Zhade may generate and use aggregated and anonymized usage data for analytics, security monitoring, and product improvement purposes, provided that such data does not identify Customer or any individual.

Customer Data is primarily stored and processed in cloud infrastructure located in the European Union. Zhade does not currently offer customer-selectable data residency.

A Data Processing Addendum (“DPA”) governing the processing of Customer Data is available from Zhade upon request.

To request a copy of the DPA for execution, please contact privacy@zhadelabs.com.

The DPA becomes binding and forms part of this Agreement only upon execution by authorized representatives of both parties.

8. Beta / Early Access Features

Beta or Early Access Features are provided “AS IS”, may be incomplete or unstable, and may be modified or discontinued at any time without notice.

Customer uses such features entirely at its own risk.

9. Artificial Intelligence Features (If Applicable)

The Product may include AI-powered features.

AI-generated output may be inaccurate, incomplete, or misleading. Customer is solely responsible for reviewing and validating any AI output.

Customer Data is not used to train generalized AI models.

10. Support and Product Updates

Zhade provides commercially reasonable email-based support during business days (Kyiv time) via support@zhadelabs.com.

Zhade may update or modify the Product at its discretion and is not obligated to maintain backward compatibility.

11. Fees, Billing, and No-Refund Policy

Fees are billed in advance via the applicable Marketplace or pursuant to a separate written agreement.

ALL FEES ARE NON-REFUNDABLE AND NON-CREDITABLE, except where expressly required by applicable law or where the applicable Marketplace, acting as merchant of record, mandates a refund.

Termination, suspension, expiration, downgrade, or non-use of the Product does not entitle Customer to any refund or credit.

12. Intellectual Property and Feedback

Zhade retains all intellectual property rights in the Product.

Any feedback provided by Customer may be used by Zhade without restriction or compensation.

13. Publicity and Trademark Use

Zhade may identify Customer as a user of the Product and display Customer’s name and logo for marketing purposes.

Customer may opt out at any time by notifying legal@zhadelabs.com, after which Zhade will remove such use within a commercially reasonable time.

14. Confidentiality

Each party shall protect the other party’s Confidential Information using reasonable care.

Confidentiality obligations survive termination.

15. Disclaimer of Warranties

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE”.
ZHADE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

16. Limitation of Liability

To the maximum extent permitted by law, Zhade shall not be liable for indirect, incidental, consequential, or special damages.

Zhade’s total aggregate liability shall not exceed the fees paid by Customer during the twelve (12) months preceding the claim.

17. Indemnification

Customer will indemnify Zhade against claims arising from Customer’s use of the Product or Customer Data.

Zhade will indemnify Customer against third-party IP infringement claims, subject to standard exclusions.

18. Term and Termination

This Agreement remains effective during the Subscription Term.

Upon termination, all rights cease and Customer must discontinue use of the Product.

Refunds apply only in the case of Zhade’s uncured material breach.

19. Changes to This Agreement

Zhade may update this Agreement.

Material changes will be notified in advance. Continued use constitutes acceptance.

20. Governing Law and Venue

This Agreement shall be governed by the laws of Ukraine.

Courts located in Kyiv, Ukraine shall have exclusive jurisdiction, except where Marketplace rules mandate otherwise.

This governing law provision does not affect the application of mandatory data protection laws where applicable.

21. Entire Agreement

This Agreement constitutes the entire agreement between the parties.

22. Survival

Provisions relating to fees, intellectual property, publicity, confidentiality, warranties, liability, indemnification, governing law, and any provisions which by their nature should survive, shall survive termination.
